We are seeking a skilled and experienced Associate General Counsel (Corporate/M&A) to join our legal team. As a vital member of the Legal Team, you will play a key role in providing strategic legal counsel and guidance on a wide range of corporate, regulatory, and compliance matters. You will collaborate closely with internal stakeholders, senior management, and external partners to ensure the company's legal interests are safeguarded and aligned with our business objectives.
You will oversee the Corporate Legal function within the Progress Legal Team, which includes responsibility for a wide range of corporate and securities law matters (further outline below) and supervision of members of the Corporate Legal function. The qualified attorney will work cross-functionally with internal departments and external resources as required, proactively identifying legal risks, engaging appropriate key stakeholders and providing support. The ideal candidate will have experience with – and will thrive on – working as a self-starter in an environment that is fast-paced, business and results-oriented and team-based.
WHAT YOU WILL DO IN THIS ROLE:
Mergers and Acquisitions:
- Lead legal support for the company’s acquisition and divestiture activities, including helping to craft acquisition and divestiture strategies, supervising legal due diligence, drafting and negotiating definitive documentation, coordinating outside counsel and supporting post-closing integration matters;
- Oversee SEC and stock exchange compliance and reporting obligations, including 10-Ks, 10-Qs, 8-Ks, Section 16 filings, and registration statements;
- Lead drafting and coordination of the company’s annual proxy statement and annual meeting process;
- Lead legal support and help craft strategy for securities-related activities, including capital markets transactions;
- Collaborate with external counsel to ensure compliance with securities laws and regulations;
- Support the Chief Legal Officer in corporate secretarial duties, including preparation of Board materials, governance documents, minutes and other matters
- Support the Chief Compliance Officer in drafting, reviewing, and updating corporate policies, procedures, and internal controls to ensure compliance with applicable laws and regulations.
- Monitor changes in legal and regulatory landscapes to proactively identify potential compliance risks and recommend appropriate actions.
- Supervise entity compliance and corporate secretarial matters for the company’s global subsidiaries;
- In partnership with relevant internal departments, help direct the company’s Corporate Social Responsibility and ESG initiatives
- Oversee the management of the company’s enterprise insurance program
- Work closely with other internal teams (including Finance, IT and Security, Internal Audit, Communications, People Team, etc.) to provide legal guidance and ensure alignment across the organization
- Participate in compliance initiatives, including training internal clients on public company legal policies or issues, including code of conduct, ethics, insider trading and anti-bribery and anti-corruption issues; and
- Drive process optimization to create efficiency/scalability and to align with the changing business needs of the company.
WHAT THE IDEAL CANDIDATE WILL NEED TO HAVE:
- J.D. from an ABA-accredited law school and member of a state bar in good standing, with a combination of 7+ years large law firm and/or publicly traded company experience (software or technology company experience is helpful but not required);
- Extensive experience as a practicing mergers and acquisitions attorney, including experience drafting and negotiating transaction documents, conducting due diligence and managing the deal process and the deal team from a legal perspective (integration experience a plus);
- Public company/securities law experience;
- Excellent judgment and ability to assess risk and benefits and convey them in a clear and concise manner (particularly when working with non-Legal Team constituencies);
- Able to see the “big picture” while maintaining attention to detail;
- Strong work ethic and ability to work independently with minimal supervision;
- Excellent project management, productivity, organizational and time management abilities; able to meet demanding deadlines in a fast-paced, dynamic environment;
- Able to demonstrate confidence and competence to internal and external constituents; and
- Excellent interpersonal, organizational, critical thinking and written and oral communications skills.

Your role
We’re looking for an individual who thrives in driving impact for the business and their customers. About the Job
From the comfort of your home, and under the direction of our Creative Director, you’ll work with internal clients to first understand their challenges, then craft executions that motivate desired audience interactions at every level of the marketing funnel. With a firm grasp on the company’s brand voice, you’ll lend your creative talents to generate on-strategy marketing and sales enablement materials across a wide range of formats, including integrated brand campaigns, email campaigns, landing pages, marketing website copy, sales collateral, video scripts, banner ads, and more. You’ll also have opportunities with UX writing within the platform, and with targeted approaches to help boost engagement across it.
Salary range: $95,000 - $122,000
About You
The successful candidate must have a demonstrable ability to understand marketing strategy at the macro level, then show how he/she uses that knowledge to execute micro-level tactics that support, or even extend, the core strategy. You’ll be able to create messaging that triggers desired emotional and rational decision-making behaviors. You’ll be able to share real-world experiences that illustrate how testing, iterating, and optimizing your copy improved marketing results over time. You must be comfortable working in a Google-drive environment. Bonus points for experience with Figma, Ceros, and the Adobe Creative Cloud.
