This role will report into the legaldepartment but a law degree is notrequired. 

What you’ll do:

  • Review and negotiate all vendor agreements, including NDAs, MSAs, SOWs, and DPAs, and assist with escalations in accordance with internal guidelines
  • Identify and advise various internal teams on standard contracting requirements, intellectual property rights, data privacy requirements, information-sharing requirements, legal and commercial risks, and internal policies, guidelines, and best practices
  • Maintain templates and playbooks for use by the procurement team, and develop and provide training to internal teams as needed
  • Maintain policies and practices for onboarding, overseeing and offboarding contingent workers (e.g., MSAs, pre-hire checks, training)
  • Assist with termination of vendor contracts, including notices of breach and destruction of data requests
  • Serve as a liaison between Legal, IT, Risk Management and Procurement for vendor security reviews and maintenance of approved data sub-processors
  • Provide back-up for legal team in support of partner contracts, including review and negotiation of channel partner agreements (MSAs, Schedules, Adoption Agreements, etc.)  

We’re looking for someone with:

Minimum Job Qualifications 

  • Bachelor’s degree or equivalent
  • At least 7 years of relevant experience 

Preferred Job Qualifications 

  • At least 5 years’ experience directly negotiating complex commercial agreements
  • Exceptionally good oral and written communication skills  
  • Proven ability to work independently, as well as part of a tightly-knit team
  • Careful attention to detail

What you’ll get

The annual base salary range for this full-time position is $75,000 to $230,000. This range is an estimate for what Tanium will pay a new hire. The actual annual base salary offered may be adjusted based on a variety of factors, including but not limited to, location, education, skills, training, and experience.

Responsibilities
•             Drive, negotiate and finalize various agreements in different jurisdictions, including sales, licensing, distribution, consultancy, services, NDAs and much more;
•             Provide practical, business-oriented legal advice and recommendations on numerous legal and business issues;
•             Provide legal advice regarding a wide variety of legal matters to the company's different departments (Sales, Product, R&D, MIS, IT)
•             Monitor and provide guidance on data privacy and other applicable laws and regulations;

Requirements/Experience:

The Lattice Legal team is growing! We are seeking a conceptual thinker who is adept at making strategic decisions while balancing company policies and business needs. You are detail-oriented, highly focused, and can efficiently and succinctly draft and review a high volume of various contracts, including specifically SaaS agreements, with counterparties within the U.S. and abroad. You’ll work closely with high-performing sales, partnership, marketing, and product teams, among other departments across the organization to review, analyze, and negotiate contracts that account for various stakeholder priorities. This position is remote or remote/hybrid based out of our San Francisco and New York offices. What You Will Do

  • Support the sales team / Deal Desk by negotiating and revising a large volume of SaaS contracts (MSA and DPA) in accordance with the playbook prepared by Legal and company policies.
  • Act as a liaison between Sales and Legal, relaying and exchanging information with others including sales team members, Information Security team members, customers, and other organizations or counterparties.
  • Participate in meetings with sales and procurement professionals, representing Lattice’s business interests and advocating in a professional manner.
  • Diligently maintain accurate records in accordance with Legal team policies and direction.
  • Observe trends and develop recommendations for playbook updates based on personal experience and be willing to advocate for change to advance the interests of the organization.
  • Capable of organizing and project managing dozens of open negotiations concurrently.
  • Find new and efficient ways to help maximize time, including weekly reporting, goal-tracking, leveraging emerging legal technological and operational tools and techniques, and team meetings.
  • Communicate early and often to ensure stakeholders and supporting team members are ready to assist as needed.
  • Handle the contracts with a sense of urgency and escalate complex issues as they arise.

 

What You Will Bring to the Table

  • Minimum of 2+ years of high-volume contract negotiation and management experience supporting a sales team.
  • Experience negotiating, editing, and drafting software license agreements and vendor contracts/procurement of various goods and services.
  • Experience managing and negotiating SaaS/tech contracts.
  • Ability to summarize and articulate complex concepts and adhere to playbooks and policies to ensure negotiated contracts adhere to company policies.
  • Strong attention to detail with a sense of urgency.
  • Ability to effectively prioritize with minimal supervision.
  • Background /experience with modern data privacy laws and frameworks is a plus.
  • Previous experience working on contracts with international counterparties is a plus.
  • Strong multi-tasker with a proven track record of supporting a fast-moving organization in a hybrid and remote working environment.
  • Strong relationship management skills, and ability to build a personal network throughout all levels of the company.
  • Functional understanding of SaaS sales.
  • A passion to learn and contribute.
  • Proven ability to work well under pressure.
  • Adaptability in response to changing priorities and needs.
  • Expertise with Microsoft Word and Contracts Lifecycle Management software (IronClad or similar); Familiar and comfortable with Google Suite, Slack and Apple products, and Microsoft Excel.

The estimated annual cash salary for this role is $98,500 - $123,000. This position is also eligible for incentive stock options, subject to the terms of Lattice’s applicable plans.

We are looking for a Contracts Manager - Fed/SLED to scale the company’s Go-to-Market addressing the U.S. public sector. As a foundational member of the legal
team, you will report into the Head of Legal and interface with a range of stakeholders supporting Illumio’s cybersecurity solutions for the U.S. federal government (Fed), as well as state, local and educational institutions (SLED).   • Play a primary role in maintaining ongoing compliance with legal and regulatory obligations arising from Fed/SLED sales transactions

What You’ll Bring:

  • In-depth knowledge of U.S. federal government contracting regulations (FAR, DFARS) and experience with GSA schedules, IDIQ contracts, and other government contracting mechanisms.

  • Deep organizational understanding of federal procurement officials and contracting officers in the Department of Defense and the Office of the Inspector General, ability to address acquisition and appropriations issues, and move efficiently through government procurement processes.

  • Familiarity with the range of state and local government, and public educational procurement processes and regulations.

  • Track record managing Fed/SLED contracts through their lifecycle, and maintaining compliance with ongoing legal and regulatory requirements tied to Facilities Clearance (FCL), Common Criteria, FedRAMP, etc.

  • 10 years plus of relevant experience, ideally a mix between roles in government (e.g., contracting officer, procurement official) and roles in enterprise software companies (e.g., contracts manager, legal operations specialist, paralegal)·Impeccable legal and business judgment in assessing materiality and relevance, differentiating actual from contractual risk, and maintaining equanimity under pressure

  • Proven ability to close transactions while preserving the company’s long-term competitive advantage and protecting against mission critical risk

Pay Range:

$165,000 -$ 180,000 USD

Key responsibilities: 

  • Develop effective positive working relationships with both internal and external customers; participate in customer meetings as required
  • Support pre-and post-award teaming activity, including NDAs and teaming agreements
  • Manage all required contract reporting, working cross-functionally for timely submission
  • Provide guidance and oversight, and work with client representatives to resolve operational and contractual issues that may arise during the performance of the contract, with a focus on mitigating risk while meeting the customer’s needs
  • Review RFP documentation to identify and communicate key proposal parameters/requirements
  • Manage and organize data files 
  • Review, create and negotiate Task orders, TA’s, NDA’s, and other agreements 
  • Liaison with Primes and subcontractors
  • Pre and post award relationships and oversight
  • Manage contract close-outs
  • Review proposals for RFP compliance – contractual documents (e.g., Reps and Certs, other certifications as required)
  • Government Contract Administration including the terms and conditions for different contract types (FFP CPFF, T & M, IDIQ, etc.) and their proper use

What you’ll bring:

  • 8+ years of cradle to grave government contracts administrative experience
  • 8+ years of experience working with relevant laws, regulations, terms, conditions and policies governing assigned contracts, including FAR, CAS, GSA and DCAA
  • The ideal candidate will have a great attitude, a keen eye for detail, be flexible, and willing to think “outside the box” in a fast-paced environment
  • Excellent knowledge of contractual terms and conditions including FAR and DFARs
  • Experience managing stand-alone and IDIQ contracts, and BPAs

Requirements:

  • Must be a US Citizen and able to work domestically 
  • Must be able to attain low-level security clearance
