Job Description

The Paralegal supports the Functional Head for Corporate and Commercial Projects with various legal and corporate transactions across the Food Group's operating jurisdictions. This includes mergers and acquisitions, joint venture agreements, corporate structuring, and more. The role involves contract review, project management, legal research, and coordination with internal and external stakeholders.

Key Responsibilities:

Project Management:

  • Assist in coordinating with team leads and members to support mergers and acquisitions, joint venture agreements, and corporate structuring.
  • Maintain and organize legal documentation for commercial projects.

Contract Review and Negotiations:

  • Review contracts to ensure they reflect accepted legal risks and comply with Board mandates.
  • Collaborate with stakeholders to facilitate contract reviews and negotiations.
  • Conduct legal research on contract issues and maintain standards for contract review processes.

General Legal Support:

  • Stay updated on industry-specific regulations and legal developments.
  • Manage contract review databases and filing systems.
  • Monitor contract status and progress, providing updates to stakeholders.

External Counsel Management:

  • Assist in managing the selection and engagement of external legal counsel.
  • Oversee the provision of legal services by external counsels or advisors.

Continuous Legal Education:

  • Provide updates on business and corporate law developments.
  • Organize seminars, trainings, and workshops on relevant legal topics.

Guidelines, Processes, and Templates:

  • Assist in preparing and implementing contracts-related guidelines, processes, and approved templates.
  • Maintain a list of approved external counsel for corporate work.

Qualifications

  • Bachelor’s Degree
  •  Paralegal Training Program
  • At least 1 year of post-qualifying experience

About the Role

In this role, you’ll be a valued member of Cloudflare’s commercial legal team.  You will also collaborate and work cross-functionally with other internal groups, across the sales, customer success finance, and partnerships teams.  The position is based in Austin, TX or San Francisco, CA  and frequent communication with our other offices will be required.

What You’ll Be Doing

  • Assist with the intake management of all contracts via internal systems and conduct correspondence with all stakeholders regarding the status of contract requests
  • Manage busy contract queue and prioritize urgent requests as necessary prior to legal counsel review
  • Conduct initial review of contracts in relation to risks stemming from contract language, internal legal thresholds, and other criteria
  • Assist with commercial negotiations, including NDAs, and MSAs, and any other general commercial terms and conditions
  • Serve as first point of contact to internal business units to answer contract-related inquiries and escalate as appropriate to senior legal colleagues
  • Manage contract lifecycles from providing forms through contract execution and maintenance
  • Assist with legal department analytics by pulling key performance indicators from various tools including SFDC and Ironclad
  • Maintain a library of form documents, contract clauses, templates, and historical documents, and add or revise material as needed
  • Provide input into the formulation, development, and/or revision of operating policies, procedures, and strategies for the commercial legal function, as appropriate 

Requirements:        

  • B.A. or B.S. degree; paralegal certification a plus but not required
  • 3+ years relevant business or legal experience 
  • Ability to meet the needs of a high-growth, fast-paced Internet company
  • Customer service oriented while maintaining acute attention to detail
  • Great organizational skills and ability to prioritize workloads
  • Possess excellent problem-solving capabilities, judgment, negotiation, communication (written and verbal) and interpersonal skills

We’re looking for a results-oriented Senior Corporate Paralegal to join Procore’s fast-growing Legal, Regulatory, & Compliance (LRC) Department. In this role, you’ll provide extensive support on our most strategic initiatives, including global entity management; global corporate secretarial support; equity-related legal matters; SEC reporting and compliance obligations; board, committee, and other corporate governance matters; corporate finance and M&A transactions; and other general corporate matters.

 

As a Senior Corporate Paralegal , you’ll partner with cross-functional teams, including Tax, Treasury, Stock Administration, Accounting, and Internal Audit, to provide excellent operational and governance support. To be successful in this role, you must be diligent, highly detail-oriented, and enjoy managing complex projects with precision. This position reports to the VP & Associate General Counsel, Corporate, Securities, & M&A and Assistant Corporate Secretary. It can be remote or based in one of Procore’s U.S. office locations. We’re looking for someone to join us immediately. 

 

WHAT YOU'LL DO

  • Lead our domestic and foreign legal entity management program, including facilitating entity formations, qualifications, registrations, consolidations, dissolutions, and annual, and other periodic regulatory filings, maintaining our corporate structure chart, subsidiary lists, and director and officer elections, resignations, and designations, and working with outside counsel to maintain compliance with local legal requirements as applicable

  • Support the Corporate Secretary’s office, including maintaining corporate records and minute books related to the board and committees of Procore and its subsidiaries (including drafting of minutes, consents, resolutions, and other materials, and maintaining our governing documents), preparing for and supporting board and committee meetings (including scheduling, preparation and distribution of meeting agendas, meeting materials, and calendars, and provision of logistical meeting support), managing our officer and director onboarding program, supporting our insurance programs, and maintaining our board portal

  • Prepare Section 16 filings related to director and executive officer equity ownership, including preparation and filing of Forms 3, 4, and 5, and Form 144 obligations, and have familiarity with beneficial ownership rules, legend removal opinions, and other securities matters

  • Support key management committees, including our Management Equity Award Committee, ESG Committee, Disclosure Committee (including related to processes and approvals required for SOX compliance, such as sub-certifications),  and manage requests for information and documents from our internal and external auditors, partners, and other stakeholders for quarterly and annual audit update letters and responses

  • Support Procore’s SEC reporting and compliance obligations, including preparation and filing of Forms 10-K, 10-Q, 8-K, S-8, and other registration statements, managing EDGAR codes, and maintaining and updating exhibits to quarterly and annual filings

  • Monitor, administer, and maintain our corporate governance policies and underlying processes, such as our Code of Business Conduct and Ethics, board and committee charters, Corporate Governance Guidelines, Insider Trading Policy (including supporting our pre-trade clearance process), Director Compensation Policy, Related Person Transactions Policy, and other policies and processes under our corporate governance program

  • Support our annual shareholder meeting process, including related to preparation of our proxy statement, management of the D&O questionnaire process, annual board, committee, and director self-assessments, and coordination of proxy solicitor, transfer agent, proxy mailing activities, meeting logistics, and agendas

  • Assist with legal aspects of executive compensation matters, including the Company’s equity incentive plan, development and administration of 10b5-1 plans, and support for other executive compensation, perk, and benefits matters

  • Support M&A, equity and debt financings, and other strategic transactions, including managing or conducting due diligence, maintaining any electronic data room process, reviewing or preparing disclosure schedules, preparing resolutions and related transaction documents, executing on closing checklists and closing mechanics, and supporting post-closing integration and other items

  • Keep abreast of NYSE listing standards, support listing compliance, and assist with stock exchange, FINRA, and other regulatory documentation and inquiries

  • Lead or support additional LRC projects as needed, potentially including the ongoing ownership of longer-term programs

WHAT WE ARE LOOKING FOR

  • 8+ years of relevant experience in an in-house legal department at a public company (gained ideally at a SaaS or other high-growth technology company); Bachelor’s degree or equivalent work experience required

  • Strong organizational and project management skills and attention to detail required

  • Ability to initiate, prioritize, plan, and manage work through to successful completion

  • A proactive and organized approach to recognizing needs, solving problems, anticipating issues, and developing solutions

  • Exceptional interpersonal skills, ability to work well in a team environment, and proven aptitude to engage, influence, and align internal and external stakeholders

  • Ability to simultaneously manage workloads, multiple client demands, and shifting priorities within a fast-paced, rapidly evolving environment

About the Job

The US-based salary range for this position is $115,000 to $150,000.
