Job Description

  • Preparation, review, and negotiation of contracts and supervision over the record-keeping of contracts and corporate documents of the Company
  • Providing legal support, particularly in the areas of civil law and copyright law

  • Preparation of responses to legal inquiries from clients and individual departments of the Company

  • Drafting and verification of formal documents

  • Participation in the creation of corporate standards within the Company and implementation of best practices

  • Active involvement in developing legal solutions regarding the sale of Autenti services in Poland or other European Union countries

  • Leading corporate matters, such as agreements between foreign entities and intra-group relations 

  • Reviewing contracts and participation in negotiations with corporate and enterprise sectors 

Qualifications

  • Attorney-at-law
  • Minimum 6 years of experience as an in-house lawyer

  • Experience working with B2B contracts 

  • Familiarity with GDPR and contract review skills

  • Very good knowledge of polish law, especially corporate and civil law

  • Interest in new technologies

  • Ability to successfully manage several projects with simultaneous deadlines

  • Manage workload prioritisation effectively 

  • Ability to learn quickly 

  • Analytical thinking skills 

  • Fluent in both Polish and English (C1 level is a must-have)

As Legal Counsel, Commercialat our Global Office, you are part of a team that brings the legend of Belmond to life. You will report directly to the Director of Legal providing and overseeing effective commercial legal support across the global business. Primary Responsibilities Include:

  • Drafting, reviewing and negotiating a wide range of contracts with a focus on agreements for PR and Marketing, Operations, Sales and IT including agreements with SAAS and Cloud service providers, other service supplier contracts, location filming agreements, events contracts, contracts with Belmond’s distribution channels and sponsorship agreements, among others.
  • Prepare and update contract templates in order to maintain an up-to-date repository of contracts beneficial to key stakeholders and provide regular training to stakeholders across the business including training on how to use contract templates and key legal issues that are relevant to their role within the business.
  • Keeping Belmond’s booking terms and conditions (available on Belmond.com) up to date.
  • Assist the Director of Legal, Commercial and the General Counsel in implementing and improving processes maintaining engagement with internal stakeholders and providing accurate and timely legal advice to support Belmond’s business objectives.
  • Supporting the Director of Legal, Commercial in managing Belmond’s trademark portfolio, third party trade mark licences and providing support to the web development team on domain name issues.
  • Monitor, assess and highlight specific legal risks to Belmond in relation to contracts and keeping the team updated.
  • Supporting the Director of Legal, Commercial in providing training on and promoting compliance with Belmond’s contract policy as well as suggesting and preparing updates to the policy and process when required
  • Manage contract databases and files.
  • Manage and oversee the DocuSign electronic signature software including administration and training for departments.

As a Senior legal counsel for CE (France) and Lead Privacy Counsel you will provide broad legal advice and assistance to the business in CE for all French speaking countries (e.g. France, Belgium, Luxembourg) and will work together as part of the Go-To Market team with legal colleagues to address legal issues across the globe.

As a Senior Legal Counsel you will be responsible for negotiating, drafting and reviewing a broad range of agreements and assisting with disputes. You may also be asked to assist the Unit4 French business with day to day legal advice on corporate, HR and finance matters.

As Lead Privacy Counsel you will oversee Unit4’s approach to data protection matters under GDPR and in other jurisdictions. You will take responsibility for driving Unit4’s approach to data protection and AI matters as this field expands and as Unit4 finds more uses for AI and machine learning within its product set working closely with our R&D team as well as our Chief Data Officer and other teams around Unit4.

As part of the global legal team, you will enhance legal awareness in the business, by providing training and advising management on relevant legal development that could affect our business. You will be involved in strategic projects critical to the business and engage directly with senior executives (including with respect to AI as mentioned above). 

You will be part of a global legal team of around 12 people. Unit4 is growing fast and advancing its technology into many new areas which provides for a great number of exciting projects where legal is leading the business in best practice and compliant ways of transacting business.

Key Responsibilities

  • Commercial Contracts:
    • Draft, review, and negotiate a wide range of commercial contracts, including SaaS (sales) agreements, service agreements, non-disclosure agreements, and joint venture agreements.
    • Provide legal advice on contract interpretation and dispute resolution.
  • French Commercial Law:
    • Advise on French commercial law matters, including corporate governance, competition law, and consumer protection.
    • Stay up-to-date on French legal developments and provide training to internal stakeholders.
  • Privacy, Data Protection and AI:
    • Advise on all aspects of data privacy and protection compliance, including GDPR, e-Privacy Directive, and local data protection laws.
    • Conduct data privacy impact assessments (DPIAs) and provide guidance on data minimization and retention policies.
    • Manage data breach response processes (working closely with the CISO) and coordinate with relevant stakeholders.
    • Represent the company in data protection audits and investigations.
    • Involvement in company’s AI committee and all related projects.

Qualifications

Education

French Law Degree (preferably masters level) (IP law, Economic law or Business law)

Knowledge and Skills

  • Strong project management skills;

  • Excellent written and oral communication skills in French and English;
  • Good interpersonal skills and relationship management skills;

Deine Aufgaben: 

  • Du bist für verschiedene rechtliche Themen ein wichtiger Sparringspartner für unsere General Counsel, mit der du eng zusammenarbeitet
  • Du verfolgst regulatorischer Entwicklungen, die für die Produkte und Ziele des Unternehmens relevant sind 
  • Du arbeitest mit den Produkt-Teams zusammen, um rechtliche Anforderungen umzusetzen

Deine Fähigkeiten:

  • Du prüfst, entwirfst und verhandelst alle  kommerziellen Verträge, wie z.B. B2B Verträge, Kooperationsverträge und Content  Provider Verträge.

THE ROLE

This teammate will provide broad-based transaction support including support for school district sales and marketing programs.  You will work with other members of our legal team on issues of diverse scope, and collaborate with business partners such as the District Sales and Marketing teams.  You will report to our Associate General Counsel.

  • Support our District Sales team, including preparation, review and negotiation of school contracts, including Data Processing Agreements (DPAs) 
  • Facilitate improvements to our Sales process to promote efficiency and scalability   
  • Address  legal and compliance aspects of RFP submissions
  • Contribute to foundational improvements, including development of templates, negotiation playbooks, contract guidance, and training materials 
  • Identify use cases that could benefit from repeatable processes, partner with relevant individuals to co-create and document these processes, and implement these processes
  • Act as the business partner to one or more functional teams within Khan Academy
  • Review and negotiate commercial agreements and vendor agreements, both our paper and third party paper contracts
  • Handle other matters as need arises

WHAT YOU BRING

  • Experience as a practicing lawyer with a JD from a U.S. accredited law school 
  • An active membership in good standing of at least one state bar
  • 4-6 years of legal experience, preferably in-house experience at a Software as a Service (SaaS), EdTech, or other tech organization  
  • Experience reviewing, negotiating, and advising on SaaS agreements (on company paper as well as customer paper), with attention to detail, consistency and efficiency
  • Some experience researching and analyzing regulatory compliance matters and related contractual commitments 
  • Strong business judgment by analyzing and communicating business and legal risks, and developing practical solutions to manage risk
  • Experience with building strong relationships and working with teams across a company 
  • Ability to manage expectations and make decisions about how to prioritize the needs of various stakeholders
  • Commitment to develop and maintain a deep understanding of student data privacy regulations (FERPA, COPPA and similar state laws) that impact our operations 
  • Certification in privacy or data security (CIPP or similar) is preferred but not required

THE INTERVIEW PROCESS

The bulk of time will focus on you and your past experiences.  We will be asking behavioral based questions that involve you giving examples of what you have done in the past.  In your examples please be specific; describe the situation that led up to your actions, what you did (your behavior), and what happened as a result.  Take your time.  There are no right or wrong answers. We will leave some time at the end of our conversation for your questions. We will let you know after every step whether or not you’ll be moving forward.
