We are seeking an enthusiastic and experienced Senior Company Secretary to join our dedicated team focused on delivering high-quality corporate governance and company secretarial services to the Starling Group. 

We are looking for someone who is passionate about governance, continuously seeking improvement and interested in working in a fast-paced environment as part of a collaborative team. The role will give you exposure to a broad remit of governance work and the autonomy to take ownership of your workload and make improvements to processes. 

The successful candidate will lead by example, frequently interacting with Board directors and members of the senior management team. As a skilled communicator, with a track record of ensuring alignment and common purpose, you will be able to manage and build relationships with stakeholders across the organisation, ensuring a clear focus on our strategic agenda. 

You will have strong financial services (ideally regulated), banking and/or listed company experience. You will be expected to manage evolving regulatory expectations in respect of corporate governance, together with those derived from other sources, such as changes to company law and the UK Corporate Governance Code. 

The Company Secretariat comprises eight other positions. The Senior Company Secretary will have up to three direct reports.

Key responsibilities

  • To provide high-quality company secretarial and governance support to the Board Risk Committee, other subsidiary board meetings and/or executive level committees as required, ensuring meetings are effectively organised and minuted, papers are distributed in a timely manner.
  • To monitor changes in relevant legislation to ensure Group governance practices comply with statutory requirements and regulatory expectations.
  • To proactively seek to enhance the governance arrangements for the Group, identifying improvements and efficiencies to support the organisation.
  • To provide corporate governance input for our annual report and accounts and Pillar 3 disclosures, including advising on best practice and market developments.
  • To oversee accurate maintenance of the Group’s statutory registers and records, ensuring filing requirements are met promptly and accurately.
  • To provide senior level input for the administration of Group share schemes.
  • To oversee company secretariat input for KYC, internal and external audit, assurance and regulatory information requests, ensuring timely responses thereto.
  • To support the Deputy Company Secretary with the efficient and effective operation of the Company Secretariat, deputising for the Deputy Company Secretary, as required.
  • Qualified chartered secretary (ACG or FCG) or equivalent professional qualification in Law.
  • Minimum 2 years’ experience in a similar role or 5+ years in an Assistant Company Secretary role, ideally within a banking or regulated financial services environment but other listed company experience will be considered.
  • Expert knowledge of share schemes, corporate governance,  company law and financial services / banking regulations (e.g. UK Corporate Governance Code, SMCR and FCA / PRA requirements). Working knowledge of equivalent overseas requirements would be an advantage.  
  • Experience of senior level stakeholder engagement and management, specifically independent non-executive directors, ideally gained within a regulated firm. 
  • Excellent communication, influencing and analytical skills.
  • Line management experience, including providing guidance and mentoring to wider team members. 
  • Ability to operate at pace and adapt to a fast changing internal and external environment.
  • Experience of entity management software and electronic board portals.

What you’ll be doing as you’re settling into your new role:

What you’ll be doing after you’ve settled:

  • Help build our understanding of the banking habits and attitudes of people in the UK in order to ensure we focus on the right things for customers.
  • Work closely with the product team to identify and shape research initiatives that both fuel ideation and evaluate product experiences.
  • Offer guidance, feedback, and support to non-researchers who need to learn from users as part of their role. 
  • Plan, execute and deliver research, and apply the appropriate research methods to answer the teams’ highest priority questions.

What you’ll need:

  • You have a few years of professional experience in applied user research for digital products. 
  • You have experience with both generative and evaluative research and you’re comfortable initiating, running and communicating research.
  • You have experience using both qualitative and quantitative user research methods and you’re knowledgeable about best practice. This role requires a good understanding of qualitative methods, such as contextual inquiry, interviews and usability testing, and a basic understanding of statistical concepts to support quantitative methods, such as quantitative surveys. 
  • You’re comfortable working across different product areas and you’re flexible and able to adapt your approach to deliver the most important insights at the right time.
  • You have great presentation skills, especially when it comes to sharing impactful insights.
  • You’re able to work closely with your team to act on your insights and ideate based on your findings.
  • You see research as a team sport, and you’re happy to collaborate and build relationships with your cross-functional team members.

We are looking for a senior employee relations specialist with financial services regulatory experience to take ownership for the delivery of a specialist Employee Relations service to the bank. 

This is a unique and newly created role and will report directly into the team’s Head of Employee Relations and Managing Counsel.  We are happy to consider applications from candidates who will be able to commute to any of our offices.

Your work will include:

  • Taking an instrumental role in supporting the Head of Employee Relations to develop and deliver the ER strategy;
  • Being the subject matter expert on employee relations matters, including the interplay with the FCA’s Conduct Rules and Senior Manager & Certification Regime;
  • Supporting the People Partnering team and hearing managers with investigations into selected and complex employee grievances and disciplinary matters, conduct investigations, performance management, and specific project work like M&A activities and corporate restructures;
  • Developing and delivering the governance framework, working closely with the  Compliance, Legal and Reward teams, in relation to employee conduct issues, reporting, data analysis and review and impact on remuneration;
  • Selected policy drafting and review in light of any employment law changes and/or regulatory changes; 
  • Designing, delivering and facilitating Employee Relations training to the business; and
  • Supporting the Chief People Officer with SMCR reporting obligations. 
  • Extensive experience as an employee relations practitioner in either a HR or legal team, or a lawyer with at least 4 years’ post-qualification employment law experience;
  • A deep understanding of employment law and the changing regulatory landscape;
  • Experience in the financial services sector;
  • Experience handling regulatory issues in the context of the SMCR, conduct, remuneration matters, and regulatory inquiries; and
  • Capable of working in a fast-paced environment and keen to grow and develop within the organisation.

About the Role

This role is part of the Risk & Compliance team reporting to the Director of Compliance  

The purpose of this role is to deliver the Engine Risk Monitoring and Audit Plan and thereby ensure that Engine maintains its Certifications, is operating within the agreed risk appetite and continues to meet the Group risk standards, Engine’s risk standards, industry standards and that our clients can be confident in our ability to identify and mitigate risk in a clear and timely manner.

The role works with team members in Compliance, Infosec and Legal colleagues to ensure that Engine remains in compliance with current relevant regulation (UK and Client Jurisdictions) and to support, challenge and guide Engine in delivering exceptional SaaS products and services in line with the relevant requirements whilst operating within its own and Group Policies and Risk Appetites.

What you'll get to do:

  • Lead the design and implementation of the Risk Monitoring and Audit Plan.
  • As part of the above, design monitoring and audit activity to maintain current compliance certifications; ensuring adherence with the Information Security controls required for the certifications (e.g. ISO, SOC 2 and PCI) and any new Certifications that may be required.
  • Deliver the Risk Monitoring and Audit Plan, including leading on the engagement with the Group Internal Audit Team / External Auditors as appropriate. 
  • Ensure MI & Reporting is provided in a timely manner to ensure the Management Team is aware of all relevant matters and that issues are tracked to resolution.
  • Support in the management of  Engine’s Client Audits and where appropriate the Engine response to information and data requests necessary to deliver their monitoring of Engine.
  • Input into Engine Risk & Compliance Papers to any relevant Committees and the Board.
  • Contribute to the embedding of a robust and pragmatic risk culture within Engine, by both supporting and constructively challenging.

About your skills:

  • 3+ experience in a relevant Monitoring and Assurance environment 
  • Experience of working in a banking or financial services environment

The Prudential team is responsible for delivery of the key prudential regulatory processes such as the Internal Capital Adequacy Assessment Process (ICAAP) and Recovery Plan, as well as managing ongoing maintenance and development of the bank’s resolvability capabilities under the Resolvability Assessment Framework.

Responsibilities:

  • Design and calibrate economic scenarios for use in stress testing. Understand and clearly explain to senior stakeholders the ways that different macroeconomic variables affect Starling’s business model.

  • Produce analysis on expected credit loss for Starling’s lending portfolios, for use in the ICAAP, other stress testing outputs and BAU forecasts.
  • Undertake credit and credit concentration risk analysis in the ICAAP.
  • Work collaboratively across teams, in particular with the FP&A team, Asset Management and Risk teams.
  • Support the rest of the team’s responsibilities on resolvability, ICAAP and Recovery Plan.

The successful candidate will have experience within the banking industry, or at a consultancy or regulator, in credit risk and impairments and will be looking for their next challenge.

Responsibilities:

    • Taking a risk based approach from an Onboarding and Periodic Review perspective, reviewing customers holistically when making a decision. 
    • Acting as subject matter expert; a mentor to the onboarding and Periodic review teams to support and build knowledge and confidence in High-risk subject matter and Starlings Risk appetite.
    • Understanding and overseeing the identification of high-risk applications that require Enhanced Due Diligence. Liaising with customers on more complex applications via phone & email.
    • Ensuring queues & workstreams are well maintained and sufficient time is allocated for priorities
    • Delivering engaging and impactful training sessions to large groups, being able to inspire your audience, tailor sessions and strengthen risk related knowledge .

  • Daily completion of I&E forms (Income and Expenditure Forms) where high attention to detail is a must

Interviewing is a two way process and we want you to have the time and opportunity to get to know us, as much as we are getting to know you! Our interviews are conversational and we want to get the best from you, so come with questions and be curious. In general you can expect the below, following a chat with one of our Talent Team:

  • Initial interview with an Engineer - ~45 minutes
  • Take home technical test to be discussed in the next interview
  • Technical interview with some Engineers - ~1.5 hours
  • Final interview with our CTO / deputy CTO ~45 minutes
  • 33 days holiday (including public holidays, which you can take when it works best for you)
  • An extra day’s holiday for your birthday
  • Annual leave is increased with length of service, and you can choose to buy or sell up to five extra days off
