As we continue to grow and increase our capacity to transform primary care, we are seeking a skilled and detail-oriented Contracts and Legal Operations Manager to draft and negotiate commercial contracts that ensure outcomes are aligned with business needs. Reporting directly to the Head of Business Operations, your contribution will have an immediate impact at Elation. Beyond the primary contracts and legal responsibilities, you will also focus on implementing tools and improving processes, systems, and policies that facilitate and scale our work, by collaborating with internal and external parties.
Responsibilities
- Structure, draft, and negotiate a broad set of agreements, with a focus on commercial contracts for our SaaS business (e.g. license, technology partner, and vendor agreements)
- Develop scalable forms, templates, policies, and processes that support compliance and contracting
- Own the contract lifecycle management through close-out, including contract modifications, tracking, and compliance with contractual terms
- Advise and support internal employees of company processes, contract status, and make recommendations based on company policies and standards
- Drive the implementation of tools to improve delivery of commercial legal services at scale (e.g. standalone contracts management systems or in our CRM)
- Assist in the development and maintenance of various contract and policy forms
- Support teams in various types of audits (e.g. technical, financial, and compliance)
- Provide support for corporate governance, corporate development, litigation and HR legal matters.
- Maintain corporate records including, but not limited to state filings, business licenses, shareholder records, board meeting minutes, and corporate resolutions.
- Support and manage legal staff as applicable.
- Perform special projects as assigned.
- Support and assist in privacy and intellectual property matters as applicable.
Required Skills
- 5-7 years experience drafting and negotiating enterprise/commercial agreements within an in-house capacity (preference for healthtech SaaS companies)
- Strong communication, negotiation, and contract drafting skills
- Working knowledge of healthcare compliance law
- Consistent good judgement and ability to apply legal knowledge to create practical business solutions
- Experience using commonly used in-house legal systems, such as contract management systems, online signature tools, etc.
- Track record of successful negotiation of commercial contracts in highly regulated environments (e.g. healthcare and regulatory compliance)
- Experience in driving process improvement initiatives, focusing on optimizing workflows and increasing scalability
- A self starter who operates well in a fast-paced environment and works with diligence, organization, and minimal supervision
Salary: $95,000 - $120,000 USD
