  1. Land Management
    • Reviews documents, such as, but not limited to, titles, tax declarations, certifications by various government entities, in relation to the conduct of the legal diligence of properties that the Company want to acquire;

    • Recommend to the Farms Project Team and Company’s Management on how to decrease, if not eliminate, the risks in relation to the properties;

  2. Contract Management
    • Prepares drafts of documents based on the standards of COE Corporate and Commercial Projects and the requirements of the Food Group, and in accordance with the existing corporate charter and by-laws of the Group, and applicable laws, rules, and regulations; 
    • Reviews, revises, and modifies the draft of documents prepared by the different teams submitted to TLC Team for review and rendition of opinion to ensure that risks are eliminated;
    • Ensures that the Group is shielded from potential liability(ies) or such liability(ies) are within industry parameters and/or existing limits set by the Board of Directors or responsible officer(s) of the BU, and the drafts of Documents are in accordance with the mandate given by the Board of Directors or responsible officer(s) of the BU (Requesting Unit), and applicable laws, rules, and regulations;
    • Conducts research on behalf of the TLC Officer in preparation for proposal and negotiation of the terms and conditions, or revisions thereof, contained in the documents prepared or reviewed by the Lex team, as the case may be, during conferences and meetings with the other party(ies) thereto and ensure that the Group’s interests are consistently advanced;

    • Assists the COE Corporate and Commercial Projects Team in establishing acceptable and uniform standards for the Documents and a systematic and uniform method of review of the Documents;
    • Conducts orientation and provides training on documents review and negotiation to the other team members of the Group, as necessary;
  3. Legal Compliance Management
    • Develops a good understanding of each business unit in Philippines, its strategies, its environment, competitive pressures and differentiating factors, and to use that knowledge to advise the management of the new laws, regulations or updates that impact or influence the business strategies and operations directly or indirectly;
    • Provides guidance and monitors the compliance of the Food Group Philippines with the applicable laws, rules, and regulations, including monitoring of the timeliness of obtaining/renewing necessary permits and licenses by the concerned operations/department team leaders, and provides management report on the Group’s compliance;
    • Coordinates with relevant government and other external networks, such as the Department of Agriculture, Department of Agrarian Reforms, Department of Environment and Natural Resources (DENR), Food and Drug Administration (FDA), Board of Investments, Philippine Economic Zone Authority, Department of Trade and Industry (DTI), Department of Science and Technology (DOST), Department of Energy (DOE), Bureau of Customs (BOC), Department of Justice (DOJ), Department of Labor and Employment (DOLE), Department of Labor and Employment (DOLE), and other government and regulatory bodies;
    • Monitors, and as necessary, coordinates compliance activities of the COE Legal and Compliance Team and business units to remain abreast of the status of all compliance activities and to identify trends;
    • Assists in identifying potential areas of compliance vulnerability and risk; proposes corrective actions and oversees the implementation for resolution of problematic issues, and coordinates with the business units to provide general guidance on how to avoid or deal with similar situations in the future;
    • Provides an assessment of the current legal trends that expose Food Group Philippines to risks or provide opportunities for the Food Group Philippines to ensure that Food Group Philippines senior leadership stays up to date on the legal development;
    • Assists in developing, initiating, maintaining, and revising policies and procedures for the general operation of the Food Group Philippines Compliance Programs and its related activities to prevent illegal, unethical, or improper conduct. Oversees the dayto-day operation of the Program;
    • Engages in active and continuing dialogue/collaboration with the Business Partners and external counsels to promote sharing of knowledge, experience and expertise among the legal practitioners in the Aboitiz Feedall Legal Team so that existing as well as emerging legal and regulatory issues, risks, threats or trends relating to the Food Group Philippines are properly identified, managed and best legal practices are implemented group wide;
    • Assists the in leading a rapid and effective response to situations where significant unanticipated legal threats to the group arise, makes recommendations on the nature and timing of actions to be taken, with defined responsibilities, and as appropriate overseeing the effective execution of those actions;
    • Assists in ensuring that the Food Group Philippines senior leadership is kept fully abreast of the changes and impact of relevant legal knowledge, developments and requirements, providing appropriate oral and written interpretations as necessary;
    • Works/coordinates closely with the Aboitiz Feedall Legal and Compliance functional team leaders (corporate secretarial, tax, contracts, labor and litigation) to ensure that the Team is fully aware of government affairs and developments that have impact on Business Units (BUs) and the Legal Team’s current practices and processes;
    • Collaborates with and assists the Aboitiz Feedall Legal and Compliance functional team leaders to develop some real knowledge and understanding of the new laws and regulations, updates and changes of current laws to allow Aboitiz Feedall Legal and Compliance to take on a more effective, proactive and business-based approach to its legal advisor role to the business units.
  4. Litigation Management
    • Manages litigation and other modes of dispute resolution involving the Food Group Philippines by implementing legal strategies to meet the company’s objectives and/or minimize the adverse impact of the legal action to the company;
    • Coordinates and oversees the successful provision of services rendered by external legal counsel and other relevant firms or advisors employed to represent the Food Group Philippines and to protect the Group’s interests and evaluate the same based on the requirements of the company;
    • Provides a timely review of draft pleadings prepared by external legal counsel in cases involving the Food Group Philippines
  5. Labour
    • Handles delivery of advisory, case/matter management, policy development and training development services relating to general labor standards, basic occupational health and safety. Subcontracting arrangements, labor audit, employee discipline, union and collective bargaining advisory, alien employment regulations, and other labor and social legislation laws and regulations, all with the objective of ensuring that Food Group Philippines is compliant with relevant labor and social legislation and regulations.
    • Manage performance of external legal advisors and counsels engaged to handle labor claims initiated against Food Group Philippines, or provide outsourced legal services in relation to negotiations with labor unions and/or complying with labor and employment regulations.
    • Assist and provide recommendations to Food Group Philippines HR in the continuous improvement of hiring, pre-employment, subcontracting, post-employment and employee policies and processes.
  6. Other Tasks
    • Performs other related activities that may be assigned by immediate supervisor.

The Role

As the Compliance Operations Manager, you will sit on the Compliance, Regulatory, & Privacy (CRP) team within Modern Health’s Legal & Compliance Department and report to the Associate General Counsel (CRP) & Head of Compliance who oversees Modern Health’s Corporate Compliance Program across the organization.

In this role, you will support the Associate General Counsel & Head of Compliance in managing the company’s compliance program operations to ensure that the company achieves its compliance goals while executing its mission to improve the lives of people and their communities by offering an inclusive mental health solution that drives the best outcomes, is the most cost-effective, and is the most engaging. You will be responsible for assisting in the design, implementation, training and education, monitoring, and auditing of the company’s compliance policies and processes. You’ll work closely with almost every function at the company to help advise on a wide range of compliance matters and risk mitigation activities.

This position is not eligible to be performed in Hawaii.

What You’ll Do

  • Be a key advisor in the development, implementation, and maintenance of Modern Heath’s compliance program
  • Work with the CRP team and other functions on the enhancement of core compliance program elements across the company
  • Manage policy review, development, and roll out
  • Manage and conduct internal investigations in collaboration with the legal team (and other functions as needed) and manage the development and implementation of corrective action plans 
  • Assist in the design and conduct compliance training for company personnel as well as update and develop additional training content, as needed
  • Assess and prioritize compliance risk areas and implement risk mitigation strategies
  • Conduct audits of company processes to ensure compliance with company policies and procedures as well as applicable federal, state, and non-U.S. laws
  • Support review of general compliance requests and develop enablement regarding common compliance inquiries 
  • Support HIPAA/Privacy records requests 
  • Support privacy compliance operations
  • Support regulatory compliance projects and initiatives 
  • Manage the team’s governance, risk, and compliance (GRC)  tools 
  • Contribute to the vetting of third-party service suppliers and ensure systematic escalation and vetting of “red flags”
  • Assist with the preparation of quarter-end compliance reports for executive leadership and the Board

Who You Are

  • Bachelor’s Degree
  • 6+ years of compliance experience 
  • Excellent academic credentials with demonstrated ability to succeed 
  • Experience with and/or understanding of compliance issues confronting the healthcare industry or another heavily regulated industry, including prior experience in operationalizing a compliance program
  • Demonstrated knowledge and understanding of the requirements for effective compliance programs as set forth in OIG Guidance and the Federal Sentencing Guidelines
  • Ability to assess and prioritize risks, allocate resources, and effectively work with the Head of Compliance on plans to mitigate such risks

  • Strong operational knowledge in executing and running a sound Compliance program, preferably with hands-on knowledge of MSB regulatory requirements

As a Commercial Counsel, you’ll … 

  • Provide primary end-to-end commercial legal support to a variety of Webflow teams and stakeholders looking to sell, buy, or source products and/or services, including sales and revenue, operations, procurement, product, business development, and partnerships.
  • Draft, review, and negotiate a variety of complex commercial agreements on a daily basis to ensure compliance with company policies and risk tolerances, including but not limited to inbound services agreements, Data Processing Agreements, SaaS agreements, software licenses, and sponsorships. 
  • Effectively identify, synthesize, and distill key contractual terms, concepts, and risks to business clients and colleagues in actionable format, including providing ongoing training and related resources to clients to enable them to self-serve and comply with internal policies and contractual requirements. 
  • Collaborate with product counsel and other cross-functional colleagues to create and refine terms and templates to bring new products and features to market as Webflow’s business continues to evolve.  
  • Be an integral team player helping build out Webflow’s commercial legal team so we can scale and operate efficiently at pace with Webflow’s exponential growth - including drafting, maintaining, and refining Webflow’s current agreements and playbooks, and leading and contributing to projects that improve internal processes and operational efficiencies.

About you:

You’ll thrive as a Commercial Counsel if you:

  • Have a JD, and at least one active bar membership.
  • 5+ years legal experience, including 3+ years of relevant experience in-house at a high-growth tech company or in a technology practice group in a top law firm
  • Have a breadth of experience drafting and negotiating a variety of commercial contracts in a fast-paced environment, as well as developing and scaling associated processes to centralize and standardize commercial legal support.

Purpose of role

It’s an exciting time to join Zego and we are looking for a Compliance Specialist to join our growing team. 

We are looking for a highly motivated and experienced individual who is eager to make a difference. As a Compliance Specialist reporting to the Director of Legal and Regulatory Affairs, you will play a critical role in maintaining and monitoring the enforcement of Zego’s compliance management framework, including policies, standards, procedures, and guidelines. 

You will work closely with business units to identify, assess, and prioritise opportunities, and issues, and support them as they consider core regulatory requirements that are critical to their business functions.

What you will be doing

  • Helping to develop and execute a risk-based Compliance Monitoring Programme, in line with the applicable FCA regulations. 
  • Providing regulatory input into business initiatives and new product proposals that is consistent with Zego’s risk tolerances. 
  • Identifying and managing risks, ensuring that the relevant control environments are operating effectively and that key controls are tested and deficiencies are addressed. 
  • Reviewing and monitoring compliance against the governance frameworks and applicable regulations, with a particular focus on customer outcomes.  
  • Producing management information for various internal and external audiences to support data-driven decision-making, particularly in relation to customer and product.  
  • Providing support, education and training to the wider Zego team about compliance. 
  • Advising various business units on compliance-related queries

What you will need to be successful

  • You have experience advising on and applying applicable legislation, regulations and guidance covering regulatory compliance processes in a financial services business, for example, ICOBS, SYSC and IDD. 
  • You are organised and able to plan ahead, manage multiple projects, provide progress updates and escalate where needed. 
  • Your written and verbal communication skills are excellent, with the ability to present complex information in a clear and concise manner. 
  • You’ll have a curious and investigative mind with a desire to improve things and make sure the customer is at the heart of everything we do. 
  • You have experience working with and coordinating multiple-stakeholders to implement changes to business processes.

You will:

Duties and Responsibilities:

Compliance

  • Collaborate with LivePerson teams to ensure we are implementing security best practices that meet relevant regulatory compliance requirements. 
  • Support the strategy for managing an increasing number of audits, compliance checks and assessment processes. 
  • Assist in the testing and analysis of the LivePerson control environment against industry and regulatory governance frameworks.

Audit

  • Work with the respective audit teams to obtain necessary evidence information for audits/assessments and certifications.
  • Provide guidance, evaluation and advocacy for all audit responses.

Shared Responsibilities

  • Support GRC team with other standard daily processes/ticket requests, as need arises.
  • Provide assistance in the 3rd Party Vendor Management program.
  • Assist the team to build and manage the security awareness program. This can include sending mass email communications, validating the content of the training is sufficient, providing reports for compliance/audit requirements.
  • Maintain excellent relationships with all business partners and provide a consistent perspective that continually puts LivePerson into the best security posture possible. 
  • Perform other duties as assigned to ensure the smooth functioning of the Global Security Team and maintain the reputation of LivePerson as a valued business partner to its customers.

You have:

  • Required Qualifications

    • Minimum of 4 years experience in a compliance and or IT security environment.
    • Knowledge of information security risk management frameworks and compliance practices (e.g., PCI DSS, HITRUST, SOC 2, ISO27001, NIST 800-171 etc.).
    • Excellent interpersonal communication, and presentation skills, including formal report writing experience for all levels of management.
    • Adept at understanding business focus and processes with the ability to inject GRC concepts into the business through teamwork and influence.
