The Department: Legal

The Role: Legal Assistant (Third-Party Subpoenas, Seizure Warrants, and Asset-Based Orders)

As a Legal Assistant, you will be primarily responsible for interpreting, tracking, analyzing, processing and responding to certain legal documents received by Gemini that seek information or require Gemini to restrain or turnover assets. These documents may come from private parties, the court system, and/or state and federal government employees or agencies. Examples include subpoenas, requests for information, seizure warrants, tax levies, and garnishments. The Legal Assistant will work within the broader Legal team to apply statutory rules when responding to third-party subpoenas and asset-based orders.  

You will also be responsible for gathering and reviewing responsive documents and information, if required, by accessing various company systems and speaking to knowledgeable employees. You will often act as a liaison between Gemini and the outside party who issued the legal document, and may often communicate with various state and federal agencies and private and government attorneys.

Responsibilities:

  • Interpret, track, analyze, escalate and respond to legal requests from external parties, such as subpoenas, search warrants, and other court orders
  • Ensure excellent and standardized quality of production 
  • Consistently track and document each request and ensure deadlines are met
  • Identify potential issues related to the requests and escalate high risk matters
  • Collaborate cross-functionally and engage with external parties, such as law enforcement, regarding subpoenas and legal orders
  • Pay great attention to detail and accuracy of response to legal documents
  • Communicate efficiently, clearly, and accurately with employees and the Legal department
  • Champion for the Legal team’s expertise and build reliance on the Legal team across the company

Minimum Qualifications:

  • Minimum of 4 years in banking or financial operations, compliance/legal operations, or at a law firm
  • Bachelor's degree  
  • Proficient with web-based and technical systems and ability to navigate them
  • Attention to detail and accuracy of work in a fast-paced environment
  • Ability to work within tight deadlines
  • Strong written and verbal communication and issue-spotting skills

Preferred Qualifications:

  •  Prior experience in a similar role at a financial company or firm
  •  Prior experience as a paralegal or legal assistant
  •  Strong interest in the law 
  •  Strong interest in digital assets
  •  Paralegal certification

Salary Range: The base salary range for this role is between $95,000 - $119,000 in the State of New York, the State of California and the State of Washington. THE ROLE

The Associate Legal Counsel role will provide broad-based transaction and compliance support across Khan Academy’s functions. You will work with other members of our legal team on issues of diverse scope, and will have first-line responsibility for supporting business teams, consistent with your experience and our needs. 

  • Provide broad- based transaction support across Khan Academy’s functions.  
  • Review and negotiate contracts including NDAs, license agreements, and vendor agreements.
  • Provide support for our compliance programs, including review of product changes and assessment of third party services used in the product.
  • Support the maintenance and development of our privacy compliance program.
  • Research and track developments in regulatory areas relevant to our business, such as  privacy, security and emerging AI regulations.
  • Serve as a project manager or liaison for cross-functional projects and legal team initiatives.
  • Handle miscellaneous matters as need arises. 
  • This role is well-suited to a motivated self-starter that wants to broaden their skill set in a role that will continue to grow with the business.  

WHAT YOU BRING

  • Must have a JD from an accredited U.S. law school and be an active member in good standing of at least one state bar.
  • 2-5 years of legal practice experience.
  • You are a corporate generalist, preferably with some experience advising technology companies. 
  • You are curious, eager to learn and hone your skills in a fast-paced environment.  You are adaptable to change as the needs of our business evolve.
  • You have some experience with (or strong appetite for researching and developing expertise in) privacy, security, & data protection. 
  • Strong communication skills (written and oral).  You are able to explain legal concepts to non-lawyers in a concise, digestible format.
  • You take pride in your work product, with attention to organization, detail and consistency.
  • You take a practical approach to your work and look for efficient solutions to resolving issues and managing projects and processes.

About the Role

Join the team responsible for protecting our customers, our data, and our company from malicious actors at all levels. The ideal candidate for this team is someone who is a self starter with a strong audit and compliance background, who has the technical skills to dive in when needed. Your Experience and Expertise 

  • BS in computer science, Business, Accounting, Cybersecurity, or equivalent experience
  • 5+ years of experience in engineering, information security operations or related IT operations
  • Strong experience as a SOC2 Compliance auditor, preferably at a big4 firm
  • Controls and Standards knowledge (SOC2, NIST CSF, 800-53, 800-171, CIS)
  • SOX Experience
  • CISA Certification
  • Demonstrable Technical Skills, preferably within cloud environments.

  • CISSP, SANS certifications, OSCP, etc.

Fundamental Components:
  • Serve as corporate counsel across multiple functional disciplines, including sales, research and development, and manufacturing groups.
  • Draft, review and negotiate a wide range of commercial contracts, including customer agreements, supply agreements, licensing agreements, joint development / research and development agreements, non-disclosure and material transfer agreements and other commercial or corporate agreements.
  • Administer the company’s contract management and contract approval process.

  • Review system implementations to assess risks and potential impact on key SOX controls.
  • Plan and perform compliance audits in areas of high risk.
  • Assist in the preparation of executive presentations in recurring Steering Committee meetings.

Internal Audit and IT Risk Coordination

  • Partner with Internal Audit and process owners on outstanding internal audit (non-SOX related) 
  • Coordinate, track, and manage open IT risk findings and remediation with stakeholders.
  • Evaluate and ensure that internal audit findings are properly addressed to prevent any risks and future findings

Qualifications

  • Bachelor’s degree in Computer Science, Information Technology, finance or accounting, similar field, or equivalent experience.
  • 5+ years in internal or external auditing, with emphasis on IT auditing, preferably with larger companies having complex IT environments or large accounting firms.

As a Senior Product Counsel, you’ll … 

  • Be the go-to legal partner for various teams and stakeholders with whom you’ll collaborate and provide legal expertise regarding compliance, best-practices, and legal implications (e.g., regulatory issues) for existing and proposed services, products, and other offerings. Identify, mitigate, and otherwise address product, privacy, and other regulatory gaps and risks, protecting Webflow while serving as a trusted and critical partner to your internal clients.
  • Lead the charge to refine, streamline, and advance Webflow’s product counseling processes, presenting innovative strategies to build a scalable and flexible product counseling function.  
  • Draft and negotiate a variety of privacy and product related agreements and related terms, including partner agreements, online terms, DPAs, BizDev agreements, and vendor agreements.   
  • Review marketing collateral and activities, and advise on compliance with applicable laws. 
  • Collaborate with commercial counsel to create and iterate terms and templates to move in lockstep with Product and other cross-functional teams.  
  • Partner with internal teams to incorporate privacy by design and risk management into Webflow’s products and services throughout the product lifecycle. 
  • Liaise between Product and the broader Legal team to keep teammates abreast of product roadmaps, initiatives, and legal support requests.
  • Stay current on legislative changes and industry best practices related to AI regulations, industry trends, and best practices, and offer recommendations as Webflow’s use of AI evolves.

About you 

You’ll thrive as Senior Product Counsel if you:

  • Have experience understanding and advising fast-paced B2C and B2B companies on common legal issues they encounter as their products evolve and the role in-house counsel plays in enabling business clients to achieve their goals and objectives.
  • Have a general working knowledge of applicable privacy laws and regulations such as FTC Section 5, TCPA, TSR, CAN-SPAM, GLBA, HIPAA, and state-level privacy laws such as the CPRA. Familiarity and experience with international privacy laws, including PIPEDA, CASL, and GDPR, is a plus.
  • Have prior experience working with AI governance, APIs, third party marketplaces (e.g. app stores), open source software, and complex intellectual property matters 
  • Have knowledge of web frameworks and an understanding of web infrastructure.
  • Are a motivated self-starter with the ability to self-serve on a majority of privacy and contractual issues and collaborate with SMEs when necessary. 
  • Are adaptable and an effective multi-tasker, with a demonstrated ability to manage and prioritize multiple, often competing, demands for your time.
  • Are a creative thinker, collaborative, and excited to contribute to a lean but growing Legal team on a variety of projects which may fall outside of your core expertise.  
  • Have a track record of forming and maintaining strong partner and cross-functional relationships.
  • Have a minimum of five years of privacy/product counseling experience, preferably in-house at a tech or a SaaS company.
  • Have a JD and at least one active state bar membership (CIPP certification preferred, not required).

About the Job

Life360 is looking for an experienced, hands-on attorney who loves to understand the businesses they support deeply and help develop creative solutions to manage risk while helping achieve business objectives.  The Legal Counsel will act as legal advisor to internal clients and manage outside counsel on litigation and IP matters.  The Legal Counsel will also support other company attorneys, as needed, on a variety of matters which may include, but not limited to, commercial transactions, procurement, product development, and marketing.  This role will have exposure to all levels of the organization(s) he or she supports.

The US-based salary range for this position is $190,000 to $265,000 We take into consideration an individual's background and experience in determining final salary- therefore, base pay offered may vary considerably depending on job-related knowledge, skills, and experience. What You’ll Do

Litigation & Claims

  • Responsible for providing guidance and risk assessment regarding litigation matters to Life360 and its affiliates, Tile and Jiobit.
  • Counsel business partners regarding legal compliance and risk management, and develop strategies for litigation and risk management in the jurisdictions in which Life360 operates.
  • Manage outside counsel, with a focus on efficiently managing fees and costs.
  • Direct, manage, and develop strategy for responding to litigants, regulatory and government agencies, and other pre-litigation matters.
  • Assist in the handling of law enforcement requests and inquiries, including the improvement and development of related processes, policies, procedures and templates.

IP Matters

  • Support the development and management of Life360’s Intellectual Property portfolio globally, working with external counsel and teams throughout the company to ensure strategy alignment.

General Support

  • Eager and willing to take on broader responsibilities to support the business and our lean and agile legal team. Take the lead on various special projects across legal areas beyond litigation and IP, as the need arises.

What We’re Looking For

  • 5+ years legal experience (at least 2+ years in-house), in the technology industry, supporting litigation and/or IP matters, with experience supporting consumer-facing businesses.
  • Significant experience managing complex litigation, projects, issues, and/or transactions with many stakeholders, including the management of related budgets.
  • Strong, demonstrated ability to deal with ambiguity and to develop creative and pragmatic solutions for complex and evolving issues in a rapidly changing environment.
  • JD from an accredited law school and membership in at least one state Bar in good standing.
  • Additional experience in Privacy, Employment, Compliance, Product, Marketing or Commercial Contracting is a plus.
